Ms. Burns is a partner in our General Corporate / Mergers & Acquisitions Practice Group and is also a member of our Strategic Transactions group. She has experience serving individuals and corporate clients, including both for-profit and non-profit entities, and established and emerging growth companies.
In addition to providing general counsel and advice to clients on a wide array of matters, including business formation, corporate governance, ownership succession issues, business planning, the preparation and negotiation of a variety of contracts and transactional documents, Ms. Burns assists clients in evaluating, structuring, negotiating and documenting complex transactions, including mergers, acquisitions and divestitures, corporate reorganizations, financing transactions (debt and equity), joint ventures (domestic and international) and real estate acquisitions, sales and leasing. She has served clients in a wide variety of areas, including the manufacturing, transportation and logistics, healthcare and entertainment industries. Ms. Burns has also represented individuals in a wide array of matters, including stock redemptions, executive compensation and severance matters.
Ms. Burns is also a member of the Title 15 Drafting Committee and the LLC Standard Forms Task Force of the Business Law Section of the Pennsylvania Bar Association.
Prior to attending law school Ms. Burns was employed by the New England Regional Office of the American Arbitration Association, where she supervised the commercial, construction, and insurance caseloads and was responsible for coordinating screening for new members of the arbitration panel and coordinating and conducting arbitrator training programs.
Mergers and Acquisitions
Counsel with respect to the sales of large steel tubing company with operations in the United States, Canada and the United Kingdom.
Represented seller in the purchase, by way of a management buyout, of a bimettalic wire company and in subsequent sale of the bimetallic wire company to a Chinese manufacturer of bimettalic composite wire products.
Represented the purchaser of a company operating textile manufacturing and finishing facilities.
Represented holding company of a regional bank in a merger with a larger regional bank.
Represented seller in sale of company engaged in freight movement and logistics.
Represented purchaser of company engaged in pharmaceutical returns management and disposition.
Represented company engaged in distribution of windows and door in sale of business assets.
Represented entity in acquisition of hospice assets from a community based organization and subsequent sale to a national hospice organization.
General Corporate Transactions
Represent client in multiple joint venture arrangement in a variety of locations, including India for development of cancer treatment center.
Represented numerous corporate borrowers in commercial financing transactions.
Negotiate and draft contracts and transactional documents for corporate clients, including commercial purchase and sale agreements, service agreements, vendor agreements, license agreements, employment related agreements, confidentiality agreements, settlement agreements and releases.
Prepare corporate governance materials and advise Board members on compliance with fiduciary duties.
Attend to assertion and resolution of contractual indemnification claims/disputes.
Real Estate
Represented healthcare organization in acquisitions of property for development as headquarters and patient service location.
Represented seller of commercial real estate used in former business operations in Pennsylvania and Maryland.
Represented numerous tenants in commercial leasing transactions.
