Mr. Carothers joined Thorp Reed & Armstrong in 2003. He is a member of the firm's Bankruptcy and Financial Restructuring Group. Mr. Carothers has represented numerous businesses in out of court restructurings, as well as in Chapter 11 bankruptcy reorganizations. He has also represented several unsecured creditor committees in Chapter 11 bankruptcy cases. In addition, Mr. Carothers routinely represents clients in bankruptcy litigation matters involving fraudulent transfers, “preferential” transfers, fraud actions, director and officer liability cases and breach of fiduciary duty cases.
Mr. Carothers also advises domestic and international companies on a wide variety of corporate issues, including entity formation, real estate transactions, asset purchases, general contract review, and compliance with various laws and regulations, notably the Foreign Corrupt Practices Act.
In 2002, Mr. Carothers served as law clerk to both United States Bankruptcy Judge Morgenstern-Clarren, in the Northern District of Ohio, and the 6th Circuit Bankruptcy Appellate Panel.
Mr. Carothers has been selected for inclusion in Pennsylvania Super Lawyers - Rising Stars Edition, 2007 and 2008.
